Terms of Service

Welcome to OC Shop, a product of Morph Tech Inc. ("we", "us", "our"). By accessing or using OC Shop ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement under Philippine law. By creating an account, you represent that you meet these requirements.

2. Account Registration

• You register using Google OAuth. You are responsible for maintaining the security of your Google account.
• You agree to provide accurate and complete information during registration.
• You are responsible for all activity that occurs under your account.
• One person or legal entity may operate one store per account.

3. Store Ownership

• As a store owner, you are solely responsible for the products or services you list, their accuracy, legality, and compliance with Philippine regulations.
• You must not list prohibited items including but not limited to: illegal substances, counterfeit goods, weapons, or items that violate intellectual property rights.
• You are responsible for fulfilling customer orders in a timely manner.

4. Pricing & Fees

• Membership Fee: ₱399 per month, billed monthly. This covers access to the Platform, your branded store, and the AI Companion.
• Transaction Commission: A commission of 3%–4% per completed transaction, depending on your store tier (Silver: 4%, Gold: 3.5%, Platinum: 3%).
• Payment Processing: PayMongo charges a separate processing fee (~3.5%) on each transaction.
• All fees are subject to applicable Philippine taxes (12% VAT).
• Failure to pay membership fees may result in your store being taken offline until payment is resolved.

5. Store Tiers

• Silver (Default): All new stores begin at Silver tier with a 4% commission rate.
• Gold: Requires DTI/SEC registration, business permit, and at least 1 month of active selling.
• Platinum: Requires Gold status plus BIR Certificate of Registration, 6 months active, and 100+ completed orders.

6. Payments & Payouts

• Customer payments are processed through PayMongo (GCash, Maya, credit/debit cards).
• Payouts to store owners are made after deducting applicable commissions and fees.
• We are not a bank or financial institution. Funds are held temporarily by PayMongo before payout.

7. Customer Orders

• Store owners are responsible for accepting, preparing, and fulfilling customer orders.
• Delivery orders must be prepaid; cash-on-delivery is not supported.
• Cancellation and refund policies are set by individual store owners, subject to Philippine consumer protection laws.

8. Content & Intellectual Property

• You retain ownership of content you upload (product images, descriptions, brand assets).
• By uploading content, you grant OC Shop a non-exclusive license to display it on the Platform for the purpose of operating your store.
• OC Shop branding, code, and design are the property of Morph Tech Inc.

9. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose.
• List fraudulent, misleading, or prohibited products/services.
• Attempt to circumvent Platform fees or commissions.
• Interfere with the Platform's operation or security.
• Scrape, copy, or reverse-engineer any part of the Platform.
• Harass, abuse, or harm other users or customers.

10. Suspension & Termination

• We may suspend or terminate your account if you violate these Terms.
• You may close your account at any time by contacting support.
• Upon termination, your store will be taken offline. Your data will be retained for 30 days before deletion.

11. Limitation of Liability

OC Shop is provided "as is" without warranties of any kind. To the fullest extent permitted by Philippine law, Morph Tech Inc. shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through amicable negotiation first. If unresolved, disputes shall be settled through arbitration in Metro Manila, Philippines, under Philippine arbitration laws.

13. Changes to Terms

We may update these Terms from time to time. We will notify you via email or in-app notification at least 14 days before changes take effect. Continued use after changes constitutes acceptance.
